TachyonShare Terms of Service Effective Date: 10 August 2026 These Terms of Service (“Terms”) govern your download, installation, access to, and use of the TachyonShare Android application (“TachyonShare” or the “App”), provided by Tachyon Bit Limited (“Tachyon Bit”, “we”, “us”, or “our”). By downloading, installing, subscribing to, or using TachyonShare, you agree to these Terms. If you do not agree, do not use the App. 1. The Service TachyonShare enables users to transfer and synchronize files, contacts, and other supported data directly between compatible devices, primarily over a local Wi-Fi network. Data selected for transfer is designed to move directly between participating devices rather than being uploaded to Tachyon Bit’s servers. Certain online functions, including licence activation, subscription verification, updates, and support, may require communication with Tachyon Bit or Google Play. You are responsible for ensuring that your devices, operating systems, network configuration, permissions, and available storage are compatible with the App. 2. Eligibility You must comply with all laws applicable to your use of the App and the data you transfer. You must be legally capable of entering into these Terms. If you are under the age at which you can enter into a binding agreement independently, you may use TachyonShare only with the permission and supervision of a parent or legal guardian who agrees to these Terms on your behalf. 3. Licence Subject to these Terms and payment of any applicable subscription fees, Tachyon Bit grants you a limited, personal, non-exclusive, non-transferable and non-sublicensable licence to install and use TachyonShare on compatible Android devices signed in to the same Google Account through which the subscription was purchased, subject to Google Play's usage rules and subscription entitlements. Except where applicable law permits otherwise, you must not: copy, modify, distribute, sell, lease, sublicense, or commercially exploit the App; reverse engineer, decompile, disassemble, or attempt to derive the source code of the App; bypass or interfere with licence activation, subscription verification, security controls, or usage restrictions; remove copyright, trademark, or other proprietary notices; use the App to gain unauthorised access to another device, network, account, file, or contact; use the App to transmit malware, unlawful material, or content that infringes another person’s rights. No ownership rights in the App are transferred to you. 4. Free Trial Eligible users may receive a 30-day free trial through Google Play. When you start the trial, your subscription will automatically convert into a paid annual subscription when the trial ends, unless you cancel before the deadline shown by Google Play. Trial eligibility is subject to Google Play's rules and TachyonShare's one-free-trial-per-device policy. Previous trial users or subscribers may not qualify for another free trial. 5. Annual Subscription After the free trial, the subscription price is USD $12 per year, or the local price displayed by Google Play. Subscriptions renew automatically for successive one-year periods unless cancelled before the renewal deadline specified by Google Play. Prices, taxes, currencies, billing dates, and payment processing are managed by Google Play. If the subscription price changes, notice and consent will be handled as required by applicable law and Google Play's rules. 6. Cancellation and Refunds You can manage or cancel your subscription through the subscription settings of Google Play. Deleting TachyonShare does not automatically cancel your subscription. Cancellation normally takes effect at the end of the current trial or paid billing period. Refund requests are handled under the policies of Google Play and any rights available under applicable law. Nothing in these Terms limits any refund, remedy, or consumer right that cannot lawfully be excluded. 7. Your Data and Responsibilities You retain ownership of files, contacts, and other content transferred using TachyonShare. You are solely responsible for: selecting the correct devices, directories, contacts, and synchronization options; ensuring that you have the legal right and necessary permission to access and transfer the selected data; maintaining appropriate backups before starting a transfer or synchronization; reviewing conflict-resolution and overwrite selections; protecting your devices, local network, QR codes, and access credentials; ensuring sufficient storage, power, and network availability. Synchronization may create, replace, rename, merge, or delete data according to the options you select. You should verify important data after each operation. 8. Privacy Our collection and handling of personal information are governed by the TachyonShare Privacy Policy. TachyonShare may request access to files, directories, contacts, the camera, local-network functions, device information, and other capabilities required for its features. The Privacy Policy explains what information is accessed, collected, transmitted, retained, and shared. These Terms do not replace the Privacy Policy. 9. Security and Device-to-Device Transfers TachyonShare is designed to transfer supported data directly between participating devices over a local network. However, no software, device, or network can be guaranteed to be completely secure or error-free. Tachyon Bit is not responsible for transfers authorised by you to an incorrect or unauthorised device where the transfer results from your selection or approval of that device, except to the extent responsibility cannot lawfully be excluded. 10. Updates and Availability We may provide updates that correct errors, improve security, add or remove features, or maintain compatibility with operating systems and Google Play's requirements. Some updates may be required for continued use. We do not guarantee that every feature will remain available on every device or operating-system version. We may suspend or discontinue all or part of the App where reasonably necessary, including for security, legal, technical, or commercial reasons. Where practicable, we will provide reasonable notice of material changes affecting paid subscribers. If we permanently discontinue paid functionality during an active paid subscription, we will provide any refund, credit, or other remedy required by applicable law or Google Play rules. 11. Intellectual Property TachyonShare, including its software, design, branding, documentation, and related materials, is owned by or licensed to Tachyon Bit Limited and is protected by applicable intellectual-property laws. “TachyonShare”, “Tachyon Bit”, associated logos, and related branding may not be used without prior written permission. 12. Third-Party Services TachyonShare may depend on third-party platforms or services, including Google Play, mobile operating systems, device manufacturers, and network providers. Your use of those services is also subject to their terms and policies. Tachyon Bit does not control and is not responsible for the availability or operation of third-party services. 13. Disclaimers To the maximum extent permitted by law, TachyonShare is provided on an “as is” and “as available” basis. No software, device, or network can be guaranteed to operate without interruption or error. Data transfer and synchronization may involve risks including conflicts, overwriting, corruption, or loss of data. You should maintain appropriate backups of important data before using synchronization features. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, warranty, right, or remedy that cannot lawfully be excluded, restricted, or modified. 14. Limitation of Liability To the maximum extent permitted by law, Tachyon Bit will not be liable for indirect, incidental, special, exemplary, or consequential loss arising from the use of or inability to use TachyonShare. To the extent that liability can lawfully be limited, Tachyon Bit's aggregate liability arising out of or relating to the App will be limited to the greater of (a) the amount paid by you for the App during the twelve months preceding the event giving rise to the claim, and (b) the annual subscription price applicable in your region at the time of the event. Nothing in these Terms excludes, restricts, or limits liability, consumer guarantees, rights, or remedies that cannot lawfully be excluded, restricted, or limited under applicable law. 15. Suspension and Termination We may suspend or terminate your access if you materially breach these Terms, attempt to bypass subscription or security controls, use the App unlawfully, or create a material security risk. You may stop using the App at any time. Stopping use or deleting the App does not cancel an active subscription; cancellation must be completed through Google Play. Upon termination, your licence to use the App ends. Provisions concerning ownership, disclaimers, liability, and governing law continue to apply where appropriate. 16. Changes to These Terms We may update these Terms to reflect changes to the App, subscriptions, laws, security requirements, or business practices. For material changes, we will provide reasonable notice through the App, our website, Google Play, or another appropriate method. Continued use after the updated Terms take effect constitutes acceptance where permitted by law. Changes will not remove accrued consumer rights or retrospectively alter a paid subscription in a manner prohibited by law. 17. Governing Law These Terms are governed by the laws of New Zealand, without regard to conflict-of-law principles. The courts of New Zealand have non-exclusive jurisdiction over disputes relating to these Terms. This does not prevent you from exercising any mandatory consumer rights or bringing a claim in a jurisdiction where applicable law permits. 18. General Terms If any provision is found invalid or unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver of that provision. These Terms, together with the Privacy Policy and any Google Play purchase terms, constitute the agreement governing your use of TachyonShare. 19.
